ISM-Rochester Battle of the Forms
Every time we sign up to commit funds on behalf of the companies we work for as Professional Purchasing Agents, we sign up for language that commits us, and our supplier in different ways, but nevertheless, it does commit us. These decisions can be legal, commercial, and logistical and will affect either party’s bottom line depending on how the terms are finalized. Contract negotiations are a vital part of doing business, and that is why I have been asked, and am very honored to be your guest speaker on May 14th. Our presentation is going to first look at a purchase process that many of us may not even realize we are following, to commit terms against a purchase that does not have a formal contract. This process is known as the “Battle of the Forms” and speaks to UCC 2-207. Second, we will take a look at several key terms and conditions and share information regarding these terms that may be of interest to both the buyer and the seller.
